9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Pizza73, its affiliates, directors, employees, agents, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to your use of, or inability to use, the Services.

Without limiting the foregoing, our liability shall be limited to the maximum extent permitted by law. In jurisdictions that do not allow the exclusion or limitation of liability for consequential or incidental damages, our liability shall be limited to the maximum extent permitted by law.

Our Services are provided on an "as is" and "as available" basis. Pizza73 expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Pizza73 makes no warranty that:

You agree to defend, indemnify, and hold harmless Pizza73, its affiliates, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

  • Your violation of any third-party right, including without limitation any copyright, property, or privacy right;
  • Any claim that your User Content caused damage to a third party.

This defense and indemnification obligation will survive these Terms and your use of the Services.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or your use of the Services shall be resolved through the following process:

  1. First, we will attempt to resolve the dispute informally by contacting each other.
  2. If the dispute cannot be resolved informally, either party may initiate formal proceedings in the courts of Alberta, Canada.

You agree to submit to the personal jurisdiction of the courts located in Alberta, Canada, for the purpose of litigating all such claims or disputes.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

15.1 Entire Agreement

These Terms constitute the entire agreement between you and Pizza73 regarding the use of our Services, superseding any prior agreements between you and us (including, but not limited to, any prior versions of the Terms).

15.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

15.3 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. We may assign or transfer these Terms, at our sole discretion, without restriction.

15.4 Force Majeure

Pizza73 shall not be liable for any failure to perform its obligations under these Terms where such failure results from any cause beyond our reasonable control, including, but not limited to, mechanical, electronic, or communications failure or degradation, acts of God, terrorism, pandemic, or government restrictions.
